Arctic Cat Announces Cash Buyback of 6.1 Million Class B Shares from Suzuki Motor Corporation

28 12 2011
  • All-cash purchase for $79.3 million;
  • Arctic Cat expects to end fiscal 2012 with more than $60 million in cash, following Suzuki share purchase;
  • Arctic Cat’s outstanding shares reduced from 18.4 million to 12.3 million, while public share float unchanged;
  • Suzuki to continue supplying Arctic Cat with snowmobile engines and engine parts, as planned;
  • Investor conference call at 10 a.m. CT today

MINNEAPOLIS, MN – December 28, 2011 – (Motor Sports Newswire) – Arctic Cat Inc. (NASDAQ: ACAT) today announced that it has purchased all of Suzuki Motor Corporation’s approximately 6.1 million shares of Arctic Cat Class B common stock for a purchase price of $79.3 million. The stock buyback reduces Arctic Cat’s outstanding shares from 18.4 million to 12.3 million, increasing non-Suzuki shareholders’ ownership of outstanding common shares by approximately 33 percent, and leaves Arctic Cat’s public share float unchanged. Arctic Cat funded this purchase with existing cash on its balance sheet. The company expects to end its 2012 fiscal year with more than $60 million in cash and no debt, after deducting cash used for the share purchase from Suzuki.

Commented Claude Jordan, Arctic Cat’s president and chief executive officer: “Based on our current cash position and ongoing cash generation, we feel comfortable with this share purchase and believe it provides great value to our remaining shareholders. Suzuki has been a major shareholder since 1988 and a valued engine supplier for the Arctic Cat brand since 1976. We have benefited significantly from this long-standing relationship. Although Suzuki will no longer have an ownership stake in Arctic Cat, we look forward to continuing to purchase snowmobile engines for the next two model years, in addition to having Suzuki supply Arctic Cat with snowmobile engine parts to service existing engines after that time.”

As previously announced on June 10, 2010, Suzuki will supply snowmobile engines to Arctic Cat through the 2014 model year, as well as engine parts to service existing engines. Arctic Cat will move snowmobile engine manufacturing to its St. Cloud, Minn., facility, where the company has manufactured ATV engines since 2007.

In conjunction with the buyback of all of Suzuki’s Class B Arctic Cat shares, Suzuki’s representative has resigned from Arctic Cat’s board of directors, effective immediately. This is a position granted Suzuki as part of its ownership of the Class B shares, does not continue following the buyback and brings the total number on Arctic Cat’s board to seven, the majority of which are independent directors.

The new contract covers both installment and revolving financing for motorcycles, scooters, ATVs and UTVs manufactured in the United States through a network of authorized dealers.

Sheffield has a strong commitment to Suzuki and its dealers and customers. “Suzuki was willing to take a chance on us while we were still relatively unknown in the powersports industry,” said Jack Snow, Sheffield Financial president. “We have never exited an industry that we entered and we don’t forget those companies who helped us get to where we are today.”

12 08 2010
  • Suzuki’s Austin Howell will make his 2010 AMA Pro Motocross debut this weekend at Unadilla.
  • Howell is coming off his second-place finish in the 450 A class at the 2010 AMA Amateur National Motocross Championships at Loretta Lynn’s and won the 450 Mod Pro title at the World Minis this year.
  • Howell will make his debut aboard the Rockstar Energy Suzuki RM-Z450 on Thursday at Media Day prior to the Unadilla National.

BREA, CA – August 12, 2010 – (Motor Sports Newswire ) – Austin Howell, the 18 year old amateur motocrosser from Red Bluff, Calif., is set to make his AMA Pro Motocross debut on Saturday at the legendary Unadilla National in New Berlin, New York. Howell has just completed a successful amateur season aboard his Rockstar Makita Suzuki RM-Z450, finishing second in the 450 A class at Loretta’s this past week. Now Howell is set to make his Pro debut on the Rockstar Energy Suzuki RM-Z450 under the guidance of both Brian Noah, Suzuki’s Amateur Motocross Support Specialist, and Bill Keefe, Team Manager for Rockstar Energy Suzuki.

Howell planned ahead, getting his pro license this year in hopes that he would be racing the remaining AMA Motocross races after finishing up the Amateur season at Loretta’s. He’s also planning on making his AMA Supercross debut in 2011, making a smooth transition from his Suzuki amateur career to the pro ranks. “It’s been a tough year for the Rockstar Energy Suzuki team due to injuries and they had a great opportunity to fill a spot with Austin,” Noah said. “Austin has showed he is capable all year long and has worked hard to make this transition, and I am glad we have a spot for him on a Suzuki. He will be among the first of many in the coming years to successfully move from our Suzuki amateur team to the Suzuki supported Rockstar Energy pro team and I can not be more happy for him.”

Howell will fill out the roster of the Rockstar Energy Suzuki team that has fluctuated this year due to illness and injury. Team Manager Bill Keefe is excited to give Austin a ride in the pro ranks. “Rockstar Energy Suzuki is fortunate that Suzuki’s championship-winning amateur program has such a large group of talented riders to draw from,” Keefe said. “We are excited to provide Austin a ride aboard our Rockstar Energy Suzuki RM-Z450 for Unadilla.”

Austin will be at Media Day on Thursday, which features the Rockstar Energy Suzuki team. He’s excited and anxious to get out on the track and see where he stands in the highly competitive 450 class. No stranger to battling hard and winning races, Austin took home the 450 Mod Pro title at the 2010 World Mini Grand Prix. “I am excited for this opportunity and I am going to do the best I possibly can. I have been working hard all year long and I know I am ready. Hopefully the next couple races go well for me so that I can show Bill and the rest of the team what I am capable of” stated Austin Howell. “I would also like to thank all my amateur sponsors who have all supported me to ultimately get to this level. Blake Young Plans His Return to the AMA SuperBike Series

11 08 2010

BREA, CA – August 10, 2010 – (Motor Sports Newswire) – Rockstar Makita Suzuki’s Blake Young is recovering from injuries sustained during the Barber test in Alabama in June. Young’s last appearance in the AMA American SuperBike series was at Road America, and he suffered a fractured L-1 vertebrae in his back shortly thereafter. Young has been focused on physical therapy and healing, and is planning his comeback to the series soon aboard his GSX-R1000.

Young has visited several specialists both at his home in Madison, Wisconsin, and in California. Young has been active in his recovery, focusing on physical therapy and bicycle riding to strengthen the muscles in his back. Dr. Thomas Brian has been watching Blake’s recovery and says the prognosis for Blake’s return in 2010 is looking good.

“Lately everything has been going really well, and I’ve been back on the bicycle and in the gym,” Young said. “For the most part, I’m just getting anxious to get back on the bike. It seems like everyday I go to physical therapy I get to do a little more to test my limits and it has helped me refocus and think a lot about how to come back stronger from this. This is the first injury I’ve had that’s kept me out longer than one race, so it’s helped me really think about what my goals are and what I want to accomplish this year. Coming back, it’s going to be hard because I’m not contending for the championship, but that doesn’t mean we can’t win races and give it our all. I think VIR would be pushing it for a comeback, so I’m looking to New Jersey to be back on track.”

Rockstar Makita Suzuki’s team manager Peter Doyle is hopeful that Blake will be able to return to racing soon but isn’t putting a date on Young’s comeback. “I think it’s one of those injuries that you just have to let heal in its own time,” Doyle said. “We want Blake back 100 percent healthy so we can go out there and try to win some races full force. We’ll just have to take it a day at a time.”

Arctic Cat Reports Fiscal 2011 First Quarter Results

29 07 2010
  • Net Loss Narrowed to $0.25 Per Share Vs. Loss of $0.33 Per Share in Prior-Year Quarter;
  • Continued to Improve Gross Margins and Strengthen Balance Sheet;
  • Company on Track to Increase Profitability This Fiscal Year;
  • Maintains Annual Revenue and Earnings Guidance

MINNEAPOLIS, MN – July 29, 2010 (Motor Sports Newswire) -

Arctic Cat Inc. (Nasdaq:ACAT) today reported that its net loss narrowed to $4.5 million, or $0.25 per diluted share, on net sales of $63.4 million for the fiscal 2011 first quarter ended June 30, 2010. In the prior-year first quarter of fiscal 2010, Arctic Cat reported a net loss of $5.9 million, or $0.33 per diluted share, on net sales of $69.4 million. The company historically reports a net loss in its fiscal first quarter, due to the seasonal nature of its products, with the majority of its sales and earnings occurring in its fiscal second and third quarters.

Commenting on the first quarter results, Arctic Cat’s chairman and chief executive officer Christopher A. Twomey said: “We are pleased with the company’s improved results. Overall, we have made remarkable strides given that the powersports sector has yet to recover from the economic recession. During the quarter, we achieved higher gross margins on lower sales volumes and further strengthened our balance sheet. We made additional progress on our strategy to closely match wholesale and retail sales, in order to reduce dealer inventories and align them with current consumer demand in our markets. We gained ATV market share by offering innovative world-class products. We also continued to aggressively work on lowering our cost structure.”

Among the highlights of Arctic Cat’s 2011 first quarter financial results versus the same quarter last year:

  • North American dealer inventories declined 23 percent;
  • Gained ATV market share;
  • Gross margins improved 610 basis points;
  • Factory inventory declined 31 percent to $88.1 million from $127.1 million;
  • Total cash and short-term investments at quarter end rose to $58.6 million from $7.9 million; and
  • The company has no short or long-term debt.

Business Line Results

All-terrain vehicle (ATV) sales totaled $27.8 million in the first quarter versus $32.2 million in the same period last year. Arctic Cat continued to match wholesale sales with actual retail demand in order to further reduce dealer inventories. At the same time, the company pursued its strategy to introduce new models and features in the ATV segments with the greatest consumer demand.

In the first quarter, Arctic Cat introduced two side-by-side Prowler utility vehicles for the 2011 model year: the Prowler HDX and the Prowler 550 XT. The three-passenger Prowler HDX is designed to be a heavy-duty utility workhorse. Its versatile rear cargo box hauls up to 1,000 lbs. and offers removable sides to create a convenient flatbed. In addition, power steering and an extra long wheelbase give it a smooth, comfortable ride. For the newly introduced Prowler 550 XT, Arctic Cat offers a sporty new look. Arctic Cat also extended its critically acclaimed electric power steering package, among other feature enhancements, to additional ATV models, including Arctic Cat’s two-rider TRVs.

Snowmobile sales totaled $17.1 million in the first quarter compared to $17.9 million in the prior-year quarter. During the quarter, Arctic Cat announced that it entered into an agreement to transition its snowmobile engine manufacturing from Suzuki Motor Corporation. Arctic Cat will begin manufacturing some of its own snowmobile engines at its engine manufacturing facility in St. Cloud, Minn., after the 2014 model year. Currently, Suzuki supplies all engines for Arctic Cat’s snowmobiles.

In making the announcement, Twomey noted: “Suzuki has been an outstanding engine supply partner for more than 25 years and remains a significant shareholder in Arctic Cat. However, we are changing our engine strategy in order to gain more control over our products, and enhance our ability to meet regulatory and performance requirements. This also will enable us to better utilize our current engine manufacturing capacity, which should result in lower costs.”

Sales of parts, garments and accessories (PG&A) in the first quarter were $18.5 million versus $19.3 million in the prior-year quarter. To help fuel PG&A sales in fiscal 2011, Arctic Cat is continuing to expand its new accessories and garment offerings to generate additional revenue and earnings.

Outlook

“Through a rescaled business and strong expense controls, we are on track to deliver improved operating results and increased profitability again this fiscal year,” Twomey said.

Arctic Cat is focused on leveraging its operational efficiency and improving its profitability in a continued low-demand recreational vehicle market. The company’s fiscal 2011 outlook includes the following assumptions: ATV industry retail sales declining approximately 10 to 12 percent; snowmobile industry retail sales in a range of up or down approximately 5 percent; Arctic Cat dealer inventories declining 20 to 30 percent; increasing gross margins between 100 to 200 basis points; achieving flat operating expense levels as a percent of sales; increasing cash flow from operations; and ending the year with more cash on the balance sheet.

Arctic Cat continues to estimate sales for its fiscal year ending March 31, 2011, in the range of $447 million to $460 million. The company anticipates that fiscal 2011 earnings will be in the range of $0.18 to $0.33 per diluted share.

Commented Twomey: “Arctic Cat remains positioned for long-term growth when the retail powersports market recovers.”

Arctic Cat Announces Plan to Begin Manufacturing Snowmobile Engines in Minnesota

11 06 2010

Arctic Cat to begin manufacturing snowmobile engines in its St. Cloud facility after 2014 model year

MINNEAPOLIS, MN – June 10, 2010 – (Motor Sports Newswire) – Arctic Cat Inc. (NASDAQ: ACAT) today announced that it has entered into an agreement to transition its snowmobile engine manufacturing from Suzuki Motor Corporation. Arctic Cat will begin manufacturing some of its own snowmobile engines in St. Cloud, Minn., after the 2014 model year. Currently, Suzuki supplies all engines for Arctic Cat’s snowmobiles. Suzuki will continue to supply the company with engine parts to service existing engines after the 2014 model year.

Commented Arctic Cat’s chairman and chief executive officer Christopher A. Twomey: “Suzuki has been an outstanding engine supply partner for more than 25 years and remains a significant shareholder in Arctic Cat. However, we are changing our engine strategy in order to gain more control over our products, and enhance our ability to meet regulatory and performance requirements. This also will enable us to better utilize our current engine manufacturing capacity, resulting in potentially better costs.”

Twomey added: “Our St. Cloud engine facility has been a great addition for the company since we began manufacturing our ATV engines there in 2007.”

The 56,000-square- foot plant is located on 15 acres and currently employees 41 people. At this time, the company plans to use existing plant capacity and personnel during the transition. Arctic Cat expects snowmobile engine production to begin in St. Cloud in fiscal 2015.
